Server Plugin Licence Agreement

The licence agreement for CPlugin server plugins for MetaTrader 4 and MetaTrader 5: the licence, trial, subscription, updates, what happens when a licence ends, the data the plugin sends for licence checks, liability and governing law.

Version 1.0 — effective 1 November 2026 (00:00 UTC)

This Licence Agreement (the "Agreement") is a contract between CPlugin Labs LP, a limited partnership registered in England and Wales under number LP024396, whose principal place of business is at International House, 10 Churchill Way, Cardiff, CF10 2HE, United Kingdom, acting by its general partner, Bridges Maintenance and Management Limited, in which the management of the partnership's business and the authority to bind it are vested by the Limited Partnerships Act 1907 and the Partnership Act 1890 ("CPlugin", "we", "us"), and the company or other legal entity for whose trading server a CPlugin server plugin is installed or run (the "Licensee", "you"). Notices to us go to info@cplugin.com.

CPlugin server plugins are business software for brokers and other companies that operate trading servers. By accepting this Agreement you confirm that you act on behalf of a business and not as a consumer.

1. Definitions

  • Plugin — a CPlugin program that runs inside a trading server (for example SlippageControl for MetaTrader 4), in any version or build we make available, with its documentation.
  • Trading Server — a MetaTrader 4 or MetaTrader 5 server operated by you or for you. A Trading Server is identified by the owner name and the server name shown in its settings (the "Server Names").
  • Licence — the right to use a Plugin on one Trading Server, recorded in a licence file that we issue and sign for those Server Names. A Trial is a Licence issued without payment for a limited time. A Subscription is a Licence paid for by the month.
  • Installation — one copy of a Plugin running on a Trading Server, identified by its own installation key (section 10.2).
  • Update Service — our service at update.cplugin.com that issues and renews Licences and Trials and, where a Plugin version supports it, makes new versions available.
  • Toolbox — our service at toolbox.cplugin.com, where you link a Trading Server to your organisation, buy a Subscription and receive invoices. Toolbox itself is governed by its Terms of Service.
  • Documentation — the ReadMe published with each Plugin version and the pages about the Plugin at cplugin.com, including https://cplugin.com/telemetry.

2. Accepting this Agreement

2.1. Before you install. This Agreement is published at https://cplugin.com/eula and is shown before the Plugin can be obtained: on the product page, with the Plugin package, and in Toolbox before a Subscription is bought. You accept it on behalf of the Licensee when you first do any of these: confirm acceptance in Toolbox; install the Plugin on a Trading Server; start a Trading Server with the Plugin installed. The Plugin contacts the Update Service as soon as it starts (section 10.1), so read this Agreement before you install the Plugin.

2.2. Authority. The person who accepts confirms that they are authorised to bind the Licensee. If you install or run the Plugin on a Trading Server operated for another company — for example as its hosting or technology provider — you accept on that company's behalf and confirm that you have its authority to do so.

2.3. Record of acceptance. When this Agreement is accepted in Toolbox, we record the version accepted, the time, the organisation and the user who accepted it. Each version of this Agreement has a number and an effective date, and we keep every version.

2.4. If you do not accept. Do not install or run the Plugin. If you have installed it, remove it from the Trading Server.

3. The licence we grant

3.1. Grant. Subject to this Agreement and for as long as a valid Licence exists, we grant you a non-exclusive, non-transferable right to install and run the Plugin on the Trading Server whose Server Names are written in the Licence, within any scope recorded in the Licence (for example certain account groups or group owners), for your own business operations on that server. You may not sublicense this right.

3.2. Copies and instances. A Licence is for a Trading Server, not for a machine or a number of copies. On that Trading Server you may run more than one instance of the Plugin (for example a renamed copy of the Plugin file with other settings). You may keep copies of the Plugin and of its licence file on a backup or replacement machine that runs the same Trading Server with the same Server Names, and you may move the Trading Server to new hardware. A Licence does not cover any other Trading Server, including a test or demo server with other Server Names; a Licence for a test or demo server is issued on request at its own price.

3.3. Restrictions. You must not: (a) use the Plugin on a Trading Server not covered by a Licence; (b) alter, forge or copy a licence file for other Server Names, or change Server Names in order to use one Licence on several servers; (c) remove, bypass or interfere with the licence check, the protection of the Plugin or its connection to the Update Service, or roll back the system clock, a virtual-machine snapshot or the Plugin's files in order to extend a Licence or Trial; (d) decompile, disassemble or reverse engineer the Plugin, except to the extent the law expressly permits this despite this restriction; (e) rent, lend, resell or otherwise make the Plugin available to a third party, other than a provider that operates the Trading Server for you under section 2.2; (f) use the Plugin in breach of the law or of the terms of your trading-platform vendor.

3.4. Ownership. We and our licensors own the Plugin, its code, protection, documentation and all copies. You receive only the rights in this section. Trading-platform names and trademarks belong to their owners; the Plugin is an independent product and is not endorsed by any trading-platform vendor.

3.5. Earlier licences. A licence file issued for an earlier version of a Plugin (for example SlippageControl 2.01 or earlier) remains governed by the terms on which it was issued and keeps working with that earlier version. New versions accept only Licences issued under this Agreement; installing a new version means accepting this Agreement under section 2.1. A licence bought once for an earlier version is not converted into a Subscription. A Licensee that already pays a monthly subscription for a Plugin is moved to this Agreement by us; the period already paid for carries over and is not charged twice.

4. Trial

4.1. Where a Plugin offers a Trial, the Update Service issues it to a Trading Server without registration. The length of the Trial is stated in the Documentation (14 days for SlippageControl on the date of this version) and is counted on our side from the first Trial issued for the same Plugin and the same Server Names; reinstalling the Plugin does not restart it.

4.2. A Trial may be extended once, for the period stated in the Documentation, on request to our support or, where the Documentation says it is available, in Toolbox, subject to the conditions stated there. Any further extension or a new Trial is at our discretion.

4.3. A Trial works only while the Plugin can reach the Update Service: its licence file is valid for a short time (48 hours on the date of this version) and is renewed at each contact. A Trading Server without outgoing access to the Update Service cannot run a Trial. A Trial is not issued to a Trading Server that has a licence of an earlier version of the same Plugin. A paid Licence for the same Plugin and Trading Server replaces a running Trial at once.

4.4. Trials carry no obligation of support.

5. Subscription, prices and payment

5.1. Buying. A Subscription is bought in Toolbox for a Trading Server that has first been linked to your organisation — with the code the Plugin writes to the server journal, automatically through a trading platform you have connected to Toolbox, or by our staff after checking. Before the purchase Toolbox shows the Trading Server the Subscription will be issued for. A Subscription is for one Plugin on one Trading Server.

5.2. Periods and invoices. A Subscription runs in monthly periods, each starting where the previous one ended; the first period starts when the first invoice for the Subscription is issued. We invoice each period through Toolbox and by e-mail to your billing contact. Payment is due within 14 days of the invoice date, by the payment methods offered in Toolbox for that invoice. Prices are stated in euro on each invoice and exclude any taxes you must pay in your own country; we are not registered for VAT and our invoices are issued without VAT. Current prices are available from us on request at any time.

5.3. Licence after payment. A licence file for a period is issued only after the payment for it has been received. The licence file of each paid period is valid until the end of that period plus 30 days. This extra time covers a late payment of the next period and an outage of the Update Service; it is not an additional paid period.

5.4. Ending a Subscription. You may end a Subscription at any time by telling us in writing or by not paying the invoice for the next period. In either case that next period is not charged and its invoice is cancelled; the licence file you hold keeps working until its own end date, which does not give you a further paid period. A period that has been paid for is not refunded.

5.5. Price changes. We may change Subscription prices with at least 30 days' notice under section 13. A change applies from the first period that starts after it takes effect.

5.6. Disputed invoices. If you believe an invoice is wrong, tell us in writing within 30 days of the invoice date; undisputed parts of the invoice remain payable.

6. Transfer, change of owner and assignment

6.1. Server Names. A Licence is bound to the Server Names written in it. If you rename the company or the server in your trading-platform settings, the Plugin treats it as a different Trading Server and the existing Licence does not apply to the new names. On your request we re-issue the Licence for the new names; the old Licence is then revoked under section 9.3.

6.2. Moving a Licence. A Licence can be moved to another Trading Server only by us, on your written request, after we have checked that the Licence is no longer used on the original server.

6.3. Sale of the business or of the server. A Licence is not transferred with the sale of your company, your business or a Trading Server. The new owner buys its own Licence. Whether, and on what terms, an existing Licence is re-issued to a buyer is decided by us case by case.

6.4. Assignment. You may not assign or transfer this Agreement or a Licence without our written consent. We may assign this Agreement to a successor of our business on notice to you.

7. Updates and the Update Service

7.1. Updates. Where a Plugin version supports automatic download, the Plugin may download a new version and save it next to itself as a separate file (<plugin file>.new) after checking its signature and checksum; the new version is never loaded until your administrator replaces the file and restarts the Trading Server. The Documentation of each version states whether it downloads updates. Deciding when to update is yours. We are not obliged to release updates, and we may stop supporting earlier versions.

7.2. Your obligation to allow the connection. You must allow the Plugin to make outgoing HTTPS connections to update.cplugin.com (port 443). Blocking them permanently on purpose is a breach of this Agreement, unless we have agreed in writing to supply licence files for that Trading Server by other means. If the Update Service cannot be reached for more than a day, the Plugin writes a warning to the server journal every hour.

7.3. Availability. We aim to keep the Update Service available but do not guarantee it. The Plugin never needs the Update Service to start: with a valid paid licence file it starts and runs until the last day of that file without contacting us. If the Update Service is unavailable, a Subscription keeps working until the end of its licence file; a Trial does not start and stops when its short licence file runs out.

7.4. What the Update Service can and cannot do. The Update Service only answers the Plugin's own signed requests. It does not connect to your Trading Server, sends no commands and no program code that runs by itself, and cannot shorten or stop a valid Licence except by revocation under section 9.3.

8. When a Licence ends — nothing breaks

8.1. When a Trial or a Licence ends, or the Plugin finds no valid Licence for the Trading Server, the Plugin stops intervening: orders are executed by the Trading Server as if the Plugin were not installed, and requests the Plugin was holding are released back to the server. The Plugin does not stop the Trading Server or trading.

8.2. You remain responsible for your trading operations during that time. You only lose the functions of the Plugin until a valid Licence is installed.

9. Suspension, revocation and termination

9.1. Term. This Agreement applies from your acceptance under section 2.1 and continues while any Licence issued under it is valid or the Plugin is installed.

9.2. Termination by you. You may terminate at any time by removing the Plugin from all your Trading Servers and telling us in writing. Invoices for periods already paid or due before termination remain payable, subject to section 5.4.

9.3. Revocation of a Licence. We may revoke a specific Licence when: the Server Names change (section 6.1); a company or server is sold or rights to it are divided (section 6.3); a Licence is re-issued at your request; you materially breach section 3.3; or a payment for the Licence is reversed and not settled. A revocation is a signed message delivered to the Plugin. It takes effect on the date stated in it — normally 30 days, and never less than 7 days, after the Plugin receives it — and the Plugin writes it to the server journal regularly until then. After that date the Plugin behaves as described in section 8. A revocation is decided by a person on our team, who records the reason; it is never automatic.

9.4. Suspension. We may stop issuing new licence files, renewals or Trials for an Installation or Trading Server — for example when an installation key is copied to another server, when two organisations claim the same Trading Server, or when an invoice is overdue. Suspension never shortens a licence file already issued.

9.5. Termination by us. We may terminate this Agreement on notice if you materially breach it (where the breach can be cured we may instead give you a period to cure it), where required by law or under section 14.3, or for convenience with 30 days' written notice. Termination takes effect for each Licence through revocation under section 9.3.

9.6. Effect of termination. On termination your right to use the Plugin ends, except that on termination for convenience under section 9.5 it continues until the end of the licence file of the period already paid for. A licence file that technically keeps working after your right has ended does not extend that right. Remove the Plugin from your Trading Servers. Sections 3.3, 3.4, 5, 10, 11, 12, 13.4, 14, 15 and 16 survive termination.

10. Licence checks and the data the Plugin sends to us

10.1. What the Plugin does. The Plugin needs a Licence for using it on your Trading Server. At start, once a day, and on retries or other events described on https://cplugin.com/telemetry, the Plugin contacts the Update Service (update.cplugin.com) to check its Licence and to look for updates. The Plugin provides no setting to disable these requests. If the Update Service cannot be reached, a valid paid Licence continues to work until its recorded expiry date; a Trial needs a successful connection to start.

10.2. What is sent. The Plugin may process data inside your Trading Server to do its work, but it does not send that data to us; we do not receive it and do not process it on your behalf, and you remain its controller. To the Update Service the Plugin sends only what is needed to confirm the identity of this copy of the Plugin and the lawfulness of its use: (a) the company name and the server name as shown in your server settings; (b) a unique key that the Plugin creates for itself (it identifies this copy of the Plugin; it is not a licence key of MetaTrader or of any other software); (c) the technical status of the licence check — for example whether the Plugin is licensed, running as a Trial, expired or revoked, with its number and last valid day, whether a licence file of an earlier version is present, the versions and build identifiers of the Plugin and of your Trading Server, the times of its starts and, if one is set in the Plugin's own settings, an old installation identifier; and (d) technical fields that protect the request — a random number, the time on the server clock, the protocol version, a signature and a one-time code showing that the Plugin holds its licence file. The Update Service also records the internet (IP) address from which each request comes and, when the Plugin downloads an update, the download. The complete field-by-field list is published at https://cplugin.com/telemetry. No other Plugin configuration values are sent, and the Plugin does not collect or transmit client or trader records, account data, orders, trades, prices, trading-server journals or database contents through this service; the documented request has no fields for them.

10.3. Why, and on what basis. We use these records to provide your Licence and Trial, to renew your Licence, to deliver updates, to give technical support, to protect the Update Service against abuse (limits on new installations per IP address), and to detect and investigate unauthorised use and copying of our software. To the extent the records contain personal data, we rely on our legitimate interests in operating licence and trial controls, delivering updates, providing support, and protecting our intellectual property. We do not rely on consent as the legal basis for this processing and do not ask for separate data-protection consent. Acceptance of this Agreement is governed by section 2.

10.4. How long we keep it. We keep the licensing and installation history without a time limit, including after a Licence expires or this Agreement ends. This history consists of installation keys, company and server names, the link to a Toolbox organisation and who made it, licence and trial numbers, their state and validity dates, trial refusals, licence purchases and payments (invoice references), our staff's records of licence operations with their reasons, records of licences issued before the Update Service existed (including the names written in them and the old licence files), product, build and platform versions, the latest server clock time, and records of requests, starts, linking attempts and downloads with their timestamps and connection IP addresses. The one-time proof of possession of a licence file and the other technical fields of a request are not kept. We use the history to investigate suspected unauthorised use, copying and licence transfers over time — for example, whether a Licence that is no longer paid for, or that was said to be moved to another company, is in continued or unauthorised use. A matching IP address or server name is an indication that prompts review, not proof of a breach. This retention does not limit any right or obligation under applicable data protection law.

10.5. Controller, changes and your rights. CPlugin Labs LP is the controller of these records (contact: info@cplugin.com; details: section 12 of our Privacy Policy, https://toolbox.cplugin.com/legal/privacy). These records concern business servers but may contain personal data, such as names and IP addresses, depending on their content and links to other information. If they contain your personal data, you have the rights described in section 12 of our Privacy Policy, including access, correction, erasure, restriction and the right to object, and you may complain to the UK Information Commissioner's Office; we assess every request under applicable data protection law. We will not add data to the list in 10.2 unless we first update the list at https://cplugin.com/telemetry, state the purpose and legal basis of the addition, and notify you under section 13.3 before the collection begins; a change of this Agreement follows section 13. We do not sell this data and do not use it for advertising. We share it only with the provider that hosts the Update Service, with the Toolbox organisation the Trading Server is linked to, with professional advisers and authorities where the law requires it or where it is needed to establish, exercise or defend legal claims, and with a successor of our business under the same commitments.

11. Warranties and disclaimers

11.1. The Plugin, every Trial, the Update Service and the Documentation are provided as is and as available. To the fullest extent permitted by law we exclude all terms, conditions and warranties, whether express or implied by statute, common law or otherwise, including any implied terms of reasonable care and skill, satisfactory quality, fitness for a particular purpose and non-infringement.

11.2. The Plugin acts on order execution inside your Trading Server under your configuration. You are responsible for testing it on a test or demo server and for verifying that it behaves as you require with your symbols, groups and clients before you use it on a production server; installing it on a production server is your confirmation that you have done so. We do not warrant that the Plugin will be uninterrupted or error-free, that it will produce any execution price or trading result, or that behaviour on a test server will be reproduced on a production server. You are responsible for your configuration, for the outcomes it produces for your clients and for compliance with the rules that apply to you as a broker or operator.

12. Liability

12.1. Exclusion. To the fullest extent permitted by law, CPlugin Labs LP has no liability of any kind to you arising from or in connection with this Agreement, the Plugin, a Trial, the Update Service, quotes, prices, order execution or any data processed, transmitted, lost or corrupted — whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, and including without limitation indirect or consequential loss, loss of profit, revenue, business, contracts, goodwill or anticipated savings, trading losses of any kind, and fines, penalties or sanctions imposed on you by a regulator or a trading-platform vendor.

12.2. Fallback cap. If and to the extent any liability of ours cannot be excluded by law, our total aggregate liability arising from or in connection with this Agreement is limited to the fee for the Subscription period in which the event giving rise to the liability occurred, for the affected Licence; for a Trial, to nothing.

12.3. What is not excluded. Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

12.4. Indemnity. You will defend and indemnify us against claims, losses and costs arising from claims by your clients or traders connected with the Plugin's operation on your Trading Servers, from your configuration of the Plugin, and from your breach of section 3.3. We will notify you of such a claim, let you conduct its defence (we may participate at our own cost) and not settle it without your consent, not to be unreasonably withheld.

13. Changes to this Agreement and notices

13.1. Changes. We may change this Agreement by publishing a new version with a new number and effective date at the address in section 2.1. We announce a new version normally at least 14 days before it takes effect, and never less than the notice the law requires. For a Subscription, a new version takes effect for you when an administrator of your organisation accepts it in Toolbox; until then the version you accepted applies to the periods you pay for, and if you do not accept a new version you may end your Subscription under section 5.4. For a Trial and for any Licensee without a Toolbox organisation, a new version applies from its effective date.

13.2. Notices to you are given by e-mail to the contact we hold for your organisation in Toolbox or inside Toolbox; where the Licensee has no Toolbox organisation, by publication on https://cplugin.com/telemetry and in the release notes of the Plugin. A revocation of a Licence is delivered to the Plugin under section 9.3.

13.3. Changes to the data the Plugin sends or the Update Service records (section 10.5) are notified by e-mail to the contact we hold for your organisation and in the release notes of the Plugin version that starts sending the addition or, for data recorded by the Update Service itself, on https://cplugin.com/telemetry at least 14 days before the recording begins. The list on https://cplugin.com/telemetry keeps every earlier version.

13.4. Notices to us are sent to info@cplugin.com or to our principal place of business at International House, 10 Churchill Way, Cardiff, CF10 2HE, United Kingdom.

14. Confidentiality and compliance

14.1. Confidentiality. Each party will keep the other party's non-public information confidential and use it only to perform this Agreement. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law. The obligation survives termination for five years, and indefinitely for licence files, trade secrets and the protection of the Plugin. Do not publish your licence files or give them to a third party.

14.2. Regulatory status. The Plugin is a technical tool for operating your own trading infrastructure. We are not a broker, investment firm or trading venue, we do not execute orders, hold client money or provide prices of our own, and we do not give investment, legal or tax advice. Your regulatory obligations, including towards your clients, remain yours.

14.3. Sanctions. You warrant that neither you nor any person who owns or controls you is designated under sanctions of the United Kingdom, the European Union or the United Nations, and that you will not use the Plugin in breach of sanctions, anti-money-laundering or anti-bribery law. If performing this Agreement would, in our reasonable opinion, put us in breach of such law, we may terminate it at once and revoke your Licences under section 9.3 with the minimum notice stated there.

15. Governing law and jurisdiction

This Agreement and any dispute or claim arising out of it (including non-contractual disputes) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief to protect our intellectual property or the Plugin in any competent court.

16. General

16.1. Order of precedence. If documents conflict, the order of precedence is: a written agreement signed by both parties that refers to this Agreement; then this Agreement; then the Documentation. The Toolbox Terms of Service govern the use of Toolbox, including linking a server and the purchase screens; this Agreement governs the Plugin, its Licences and Subscriptions. Section 5 of the Toolbox Terms of Service (fees and payment) does not apply to Subscriptions, which are governed by section 5 of this Agreement. Our Privacy Policy describes how we handle personal data; it is a notice and not part of this Agreement.

16.2. Support. Support for Subscriptions is provided through Toolbox Tickets and by e-mail on a reasonable-efforts basis, without committed response or resolution times.

16.3. Entire agreement. This Agreement is the entire agreement between the parties about the Plugin and supersedes prior discussions. Each party confirms it has not relied on any statement not set out in it. Marketing material is not part of this Agreement.

16.4. Severability; waiver. If a provision is unenforceable the rest remains in force. A failure or delay in enforcing a right is not a waiver of it.

16.5. Third parties. No third party has rights under this Agreement (Contracts (Rights of Third Parties) Act 1999).

16.6. Force majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control, including failure of infrastructure providers, networks, power or upstream services, acts of government, sanctions, strikes, epidemics, natural disasters and cyber-attacks that reasonable measures could not prevent. Payment obligations are not excused.

16.7. Statutory information. CPlugin Labs LP is a limited partnership registered in England and Wales, number LP024396, acting by its general partner Bridges Maintenance and Management Limited. Principal place of business: International House, 10 Churchill Way, Cardiff, CF10 2HE, United Kingdom. E-mail: info@cplugin.com.

16.8. Language. This Agreement is written in English. Any translation is for convenience only.
